Terms of Service

1. Purpose and Scope
These Terms set the conditions for use of the services provided by the sole proprietor 웨이티브 (English name Waytive; the “Company”), and the rights, duties, and responsibilities of the Company and users.
The services covered by these Terms include the waytive.ai website, the app.waytive.ai account, the macOS desktop apps Waytive X, Waytive Warp, and Waytive Shot, related downloads, and features the Company provides for a fee or free of charge.
By using the services, you agree to these Terms and to the Privacy Policy. If you use the services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
Matters not provided for in these Terms, and the interpretation of these Terms, follow applicable law — including the Act on Consumer Protection in Electronic Commerce, etc. (the “E-Commerce Act”), the Act on the Regulation of Terms and Conditions, the Framework Act on Consumers, the Content Industry Promotion Act, and the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc. — and ordinary commercial practice. A provision that conflicts with mandatory law is unenforceable to that extent.
2. Definitions
In these Terms, the following terms have the meanings below.
- “Services” means the website, account, desktop apps, and related features described in Article 1.
- “User” means a member or non-member who uses the services under these Terms.
- “Member” means a user who has created an account at app.waytive.ai and agreed to these Terms.
- “Account” means the user-identification information created at app.waytive.ai in order to use the services.
- “Waytive Pro” or “Pro” means the monthly or annual subscription under which the user pays the fee set by the Company and uses Waytive X, Waytive Warp, and Waytive Shot together.
- “Free plan” means the plan under which the user uses Waytive Warp, within the scope set by the Company, without a fee.
- “Cloud transcription” means the feature that converts the user’s speech into text through the Company’s servers.
- “Payment processor” means the electronic payment settlement agency the Company engages to process the user’s payments. Once that processor is determined, its name will be stated in these Terms and in the Privacy Policy.
3. Posting and Changes to These Terms
The Company posts these Terms where users can readily see them, on the initial screen of the services or a linked screen. Matters that are important to users — including fees, auto-renewal, and limits on withdrawal — are also stated in these Terms and on the checkout screen.
The Company may change these Terms to the extent it does not violate applicable law. If it changes these Terms, it will announce the effective date and the changes in the services and will update the date on this page.
If the Company raises fees or changes conditions to the user’s disadvantage, it will give prior notice in the product or by email to the account before the change takes effect. Changes apply only prospectively. If you do not agree to a change, you may cancel your subscription before the effective date.
If you continue to use the services after a change takes effect, you are deemed to have agreed to the changed Terms. If a statute requires a separate consent procedure, that procedure applies.
4. Description of the Services
Waytive Warp is a macOS desktop app that transcribes speech and pastes it into the app you are using. You may choose Cloud transcription or Whisper local transcription, which is processed only on the device.
Waytive Shot is a macOS desktop app that provides screen capture, editing, optical character recognition (OCR), and screen recording. Shot is provided to Pro subscribers and requires linking an account to use it.
The free plan is Warp-only, with 60 minutes of Cloud transcription per month. Pro is an X, Warp, and Shot bundle, with unlimited Cloud transcription. If you have set up a local model, Whisper local transcription is available regardless of plan.
The specific scope of features may vary by plan, operating system, device, and the permissions you have granted. The Company may add, change, or discontinue features as operations require. Some features depend on third parties or on-device capabilities, such as payments, authentication, the network, and operating-system permissions including the microphone, screen recording, and accessibility.
Paid features are digital content supplied over an information network and granted to the account immediately after payment is approved. Desktop apps are downloaded from the website or from a path the Company indicates.
5. Accounts and Eligibility
Accounts are created and managed at app.waytive.ai. You must provide accurate and current account information and keep authentication information such as your password, and any linked devices, secure.
The services may be used only by persons aged 14 or older. The Company does not provide services directed at children under 14 and does not collect personal information of children under 14. Under Article 22-2 of the Personal Information Protection Act, processing personal information of a child under 14 requires the consent of the child’s legal representative. If the Company learns that it has processed such personal information without that consent, it will without delay destroy the personal information and restrict use. Details follow the Privacy Policy.
Activity that occurs under the account is the user’s responsibility, except where it results from the Company’s failure to take reasonable security measures.
If the Company confirms false information, use of another person’s information, or a violation of these Terms or of law, it may refuse to accept a contract or restrict use under Article 13.
6. Formation of the Contract
A contract for the free plan is formed when the user agrees to these Terms and creates an account, or uses the services in a manner the Company sets.
A contract for a paid subscription is formed when the user, on the checkout screen, reviews the notices about the fee, what is provided, the subscription period, auto-renewal, and withdrawal, applies for payment (an offer), payment is approved through the payment processor, and the Company accepts that offer.
The Company may withhold or refuse acceptance if it lacks capacity, if there is a technical impediment, or if there is reason to believe these Terms or the law would be violated. If it refuses acceptance after payment has already been made, it will refund the price under Article 8.
7. Plans, Payment, and Tax
A paid subscription may renew automatically unless canceled before it expires. By starting a paid plan, you agree that the Company and the payment processor may charge the applicable fees, taxes required by law, and renewal charges to the payment method you selected.
The Company does not itself collect or store full payment-card numbers (PAN), CVCs, or equivalent instrument secrets. Payment-method details are entered in the payment processor’s checkout. The Company receives from the payment processor only the payment result and the identifiers needed for the subscription and billing. The payment processor processes the payment.
Fees, included services, and the subscription period are shown at checkout and in your account. New Waytive Pro subscriptions are billed in USD in all countries, including South Korea, with applicable taxes included in the displayed price. For sales through Paddle, Paddle acts as the Merchant of Record and handles payments, applicable sales taxes, and transaction receipts. For receipt questions, use the contact page or email support@waytive.ai. Your card issuer’s exchange rates and international payment fees are subject to its own terms.
Waytive Pro includes Waytive X, Waytive Warp, and Waytive Shot. Monthly billing is USD $25 per month, 50% off the USD $50 monthly reference price, for one month of access. Annual billing is USD $240 paid upfront each year for 12 months of access, saving 20% compared with 12 monthly payments totaling USD $300. The USD $20 monthly equivalent for annual billing is not a monthly installment. Both prices include applicable taxes. Waytive Shot is provided to Pro subscribers and requires linking an account to use it. Free-plan users may use Waytive Warp, with 60 minutes of Cloud transcription per month.
Third-party AI subscriptions and API usage connected by users are not included in the Waytive Pro fee and are billed separately by those providers.
Online checkout is in preparation. Signing up or selecting a plan does not charge you. The billing interval, final amount, and renewal terms will be shown before payment. Existing KRW contracts and transaction history are not automatically converted to the new USD prices.
You may manage or cancel auto-renewal in account settings or in the billing and subscription-management screens the Company provides. Cancellation takes effect from the next billing cycle. Except as required by law or Article 8, amounts already paid for a period that has begun are not refunded retroactively.
The Company may change fees, packaging, or plan composition. Notice of a fee increase or a change of conditions to the user’s disadvantage, and the right to cancel, follow Article 3.
8. Withdrawal, Cancellation, and Refunds
This Article sets withdrawal, cancellation, and refunds for paid subscriptions such as Pro (digital goods supplied immediately over an information network) to the extent the E-Commerce Act applies. A provision that conflicts with mandatory law is unenforceable to that extent.
Right of withdrawal. You may withdraw from a paid-subscription contract within 7 days from the date the contract is made (the payment date). The Company does not currently apply the digital-content restriction on withdrawal under Article 17(2) of the E-Commerce Act. You may therefore exercise your right of withdrawal within that period regardless of whether you have downloaded the app or begun using paid features.
Subscription cancellation. You may cancel auto-renewal at any time in account settings or in the billing and subscription-management screens the Company provides. Cancellation takes effect at the end of the current paid period (the next billing cycle). You may keep using paid features until that period ends. Cancellation alone does not retroactively refund amounts already paid, unless the withdrawal right in this Article or the outage refund below applies.
How to request a refund, and timing. To request withdrawal or a refund, use the contact page or email support@waytive.ai with your account email, order or payment identifiers, and the reason. If withdrawal or a refund is granted, the Company will process it without delay and, when it must return the price, will within 3 business days (E-Commerce Act Article 18) ask the payment processor to cancel the charge or refund the payment method used. The card issuer, bank, or other payment-method provider may take additional time to post the credit, according to that institution’s processing schedule.
Refunds for service outages. If, due to a cause for which the Company is responsible, you cannot use a paid service for a material period, you may request a refund of fees proportional to that outage period or an extension of the paid period. The amount is based on the scope and length of the outage and the fee paid for that billing cycle. This paragraph does not apply to outages caused by events outside the Company’s control despite reasonable care, including natural disasters, problems with the user’s device or network, or failures of third-party infrastructure or payment networks.
9. User Obligations
You must not do any of the following.
- Use the services in a way that violates law, these Terms, another person’s rights, or public order
- Interfere with or circumvent the security, integrity, usage limits, billing, or availability of the services
- Access another user’s account, data, or device, or the Company’s systems, without authorization
- Distribute malicious software, attack vulnerabilities, or collect data in a manner the Company has not allowed
- Circumvent plan, subscription, or feature restrictions
- Input or generate content that infringes another person’s intellectual-property rights, publicity rights, personal information, or trade secrets
You use the services at your own responsibility and must check the content and your rights before using transcriptions, captures, recordings, or other output.
10. Desktop Apps, Permissions, and User Content
Warp and Shot may, to the extent you allow, access macOS permissions and local resources such as the microphone, screen recording, accessibility, the clipboard, and files. You decide which devices, folders, and permissions to open.
You are responsible for keeping backups of important material and for reviewing transcriptions, commands, captures, recordings, and other output before executing, publishing, or relying on them.
Rights in content you input into the services or that the apps generate or store (including text converted from speech, user dictionaries, captured images, recordings, and settings) remain with you. The Company may host, store, transmit, and display that content only as needed to provide, secure, and support the services.
You represent that you have the rights necessary to submit and process that content and that such use does not infringe the rights of others.
11. AI Features and Output
The services may include output that AI generates or assists, including speech transcription. Output may be incomplete or inaccurate and may be unsuitable for your intended use.
You must review and verify output yourself before executing, publishing, or transmitting it, or using it for legal, financial, medical, employment, security, or other high-stakes decisions. The Company does not warrant the accuracy, completeness, or fitness for a particular purpose of output. This paragraph applies within the limits of liability in Article 14.
12. Intellectual Property
Intellectual-property rights in the services, software, trademarks, branding, website content, and product design belong to the Company or the rightful owner.
Except as these Terms or applicable law allow, you may not copy, distribute, modify, reverse engineer, or create derivative works from the Company’s protected materials. Open-source components remain subject to their own licenses.
These Terms grant you only a non-exclusive right to use the services and do not assign the Company’s intellectual-property rights.
13. Changes, Suspension, and Restriction of Use
The Company may change the services as operations or technology require, and may suspend all or part of the services for inspection, replacement, or incident response. For interruptions that can be anticipated, it will endeavor to give prior notice.
If, due to a cause for which the Company is responsible, a paid service is not provided for a material period, the outage refund in Article 8 applies.
If you violate these Terms, create risk for other users or the Company, fail to pay fees, or if the law so requires, the Company may restrict use or terminate the contract after prior notice. If delay in restriction would be expected to cause serious harm to others or to the Company, it may restrict first and notify afterward.
You may stop using the services at any time and cancel a subscription under Article 8. After the contract ends, provisions on payment of fees, intellectual property, limits of liability, and content already processed remain in effect until the relevant matter is resolved.
14. Limitation of Liability
The Company will endeavor to provide the services stably. Except in cases of the Company’s willful misconduct or gross negligence, and to the extent applicable law allows, the Company is not liable for damage arising from use of the free plan, from a cause attributable to the user, from problems with the user’s device or network, or from failures of third-party infrastructure or payment networks.
Except in cases of the Company’s willful misconduct or gross negligence, the Company is not liable for special damages, indirect damages, lost profits, or loss of data or business opportunity.
Except in cases of the Company’s willful misconduct or gross negligence, the Company’s liability to a user for damages in connection with a paid service is limited to the fees the user paid the Company for that service during the 12 months counting back from the date the cause of liability arose.
This Article does not limit liability that mandatory law, including the Act on the Regulation of Terms and Conditions, does not allow to be limited or excluded — in particular liability for damage to life or body, and liability for damage caused by the Company’s willful misconduct or gross negligence.
15. Retention of Transaction Records
Under the E-Commerce Act and its Enforcement Decree, the Company keeps the following transaction records for the statutory periods.
- Records of contracts and of withdrawal of offers: 5 years
- Records of payment and of the supply of goods or services: 5 years
- Records of consumer complaints and dispute handling: 3 years
The Company deletes those records without delay once the period ends, unless another law requires a longer period. Full payment-card numbers are not stored by the Company and are therefore not part of these retained records.

16. Governing Law, Dispute Resolution, and Business Information
These Terms and use of the services are governed by the laws of the Republic of Korea.
The Company will endeavor to reflect users’ legitimate opinions or complaints and to compensate for resulting harm. A user may apply for redress to the Consumer Dispute Settlement Commission of the Korea Consumer Agency, the Korea Fair Trade Commission, or the dispute-mediation body of the metropolitan local government where the user is located.
If a lawsuit is filed in connection with these Terms or the services, jurisdiction follows the Civil Procedure Act.
The Company may give notices in the product or by email to the address registered on the account. You must keep the account email current. Requests for withdrawal, refunds, and customer inquiries may be made through the contact page or to support@waytive.ai. Legal questions about these Terms may be sent to legal@waytive.ai.
